INTRODUCTION
The respect for freedom and human rights is an essential principle of Skypace’s business activities. It creates the framework of our operations and is pre-requisite for our success. Skypace(hereinafter – the “Company”) is committed to the principle of sustainability. This includes the responsible – meaning efficient and effective – and sustainable use of available resources, at present and in the future. Company has committed itself to principles in the areas of human rights, labor, the environment and anti-corruption.
Company is committed to honesty and integrity with respect to our entire business conduct towards employees, customers, suppliers, competitors and other stakeholders. Company recognizes that legal and cultural requirements vary in a global market. Company expects all of its Business Partners to act with the same fairness, honesty and responsibility and dedication to corporate social responsibility in all aspects of their business.
This Code of Conduct highlights important standards that are consistent with Company’s valuesand which we expect each Business Partner including, but not limited to suppliers, consultants, vendors, brokers, merchants, dealers, contractors, agents and others, to observe and strictly adhere to.
COMPLIANCE WITH LAWS, RULES AND LEGAL REGULATIONS
Company and the Business Partner comply with all applicable laws, rules and regulations in thecountries in which it operates and will maintain suitable measures to ensure compliance with such laws, rules and legal regulations.
COMPLIANCE WITH ANTITRUST LAWS
Company and the Business Partner strictly comply with all applicable antitrust laws, tradepractice laws and any other competition laws, rules and regulations dealing for example withmonopolies, unfair competition and restraints of trade, and relationships with competitors andcustomers. Company and the Business Partner do not enter into agreements with competitorsor engage in other acts that may unfairly impact competition, including, but not limited to, pricefixing or market allocations.
FORCED LABOR AND THE WITHHOLDING OF DOCUMENTS
Company and the Business Partner do not benefit from or participate in, any form of forced labor such as bonded labor, forced prison labor, slavery, servitude, or human trafficking, conforming with the ILO-conventions 29 and 105. Workers must have the freedom of movement during the course of their employment and no part of any property or documents, employee’s salary or benefits should be kept from the employee in order to force the employee to stay in employment.
RESPECT FOR HUMAN RIGHTS AND NON - DISCRIMINATION
Company respects human rights and actively promotes their observance. Company follows theUniversal Declaration of Human Rights of the United Nations, which requires each individual, every organ of society and, by extension, economic agents and businesses, to contribute towardsthe observation of these rights.
Company and the Business Partner protect their employees from acts of physical, verbal, sexual, or psychological harassment, abuse, or threats in the workplace, whether committed by managers or fellow employees including when determining and implementing disciplinary measures.
Company and the Business Partner do not engage in or support any discrimination including on the basis of race, colour, sex, language, religion, political or other opinion, caste, national or social origin, property, birth, union affiliation, sexual orientation, health status, family responsibilities, age, and disability or other distinguishing characteristics, in accordance with the ILO conventions100 and 111.This entails that hiring, remuneration, benefits, training, advancement, discipline, termination, retirement or any other employment-related decisions shall be based on relevant and objective criteria.
COMBATING CORRUPTION
Company does not tolerate any form of corruption. Thus, Company and the Business Partner comply with applicable laws and regulations concerning bribery and anti-corruption, including those concerning foreign corrupt practices.
Company and the Business Partner will neither engage in nor tolerate any form of corruption, bribery, theft, embezzlement, or extortion or the use of illegal payments, including without limitation, any payment or other benefit conferred on any individual, company or government official, for the purpose of influencing the decision-making process in violation of applicable laws.
EXPORT AND IMPORT REGULATIONS
Company and the Business Partner comply with all applicable import and export control laws, including without limitation, sanctions, embargoes and other laws, regulations, government order sand policies controlling the transmission or shipment of goods, technology and payments.
LEGAL COMPLIANCE
Company and the Business Partner comply to or exceed all local laws including but not limited to: the right to freedom of association, the right to collective bargaining, working hours, overtime hours, rest periods and labor contracts.
REIMBURSEMENT
Company and the Business Partner always comply or exceed legal minimum wage requirements.Wages shall be paid in a legal currency and on a regular basis.
ESTABLISHED WORKING RELATIONSHIP
Company and the Business Partner grant all employees the benefits that are included in the local regulation. The supplier shall respect the privacy rights of its employees whenever it gathers or keeps private information or implements employee-monitoring practices.
MANAGING ENVIRONMENTAL ASPECTS
Company and the Business Partner shall maintain awareness of current environmental legislative requirements, which are relevant to the environmental impacts of its activities, products and services. Also, it must ensure legal compliance through training, awareness, operational control and monitoring.
Company and the Business Partner must continuously strive to minimize the significant environmental impacts of its activities, products and services through a proactive approach and responsible management of its environmental aspects (including, but not limited to):
DATA PROTECTION, CONFIDENTIAL INFORMATION AND INTELLECTUAL PROPERTY
Company complies with all applicable laws concerning data protection. It is the Company’sresponsibility to ensure that any confidential business information or trade secrets gained by virtueof the business activities with the Business Partner (hereinafter referred to as “ConfidentialInformation”) is held in strict confidence and not improperly used or disclosed to third parties.Furthermore, the Company will protect and secure the Business Partner’s intellectual property asConfidential Information.
COMPLIANCE WITH THIS CODE OF CONDUCT
Compliance with the provisions herein is essential for the business relationship betweenCompany and the Business Partner which is acknowledged and agreed by the Business Partner.
In case of significant breaches by the Business Partner of this Code of Conduct, Companyreserves the right to terminate the business relationship with the Business Partner subject toapplicable laws.
The Business Partner will use its best efforts to be familiar with the business practices of itssuppliers, sub-contractors and other business partners and to require all such suppliers, sub-contractors and business partners to comply with this Code of Conduct or the values laid downherein.
The Business Partner and Company will discuss any questions in relation to this Code of Conductin a trustful and respectful manner.
